El grupo vasco Ohmnia anuncia una OPA sobre Azkoyen valorada en 244.5 millions
Clerbil, junto a otros socios del grupo industrial tecnológico vasco Ohmnia (Carmen Lequerica Holding, el Instituto Vasco de Finanzas y la Fundación Bancaria Vital), y con la coordinación de la Fundación BBK e Indar Wallet, ha lanzado una Oferta Pública de Adquisición (OPA) voluntaria sobre la totalidad de las acciones de la multinacional navarra Azkoyen, a precio de 10 euros por efacción, en ectivo.
El capital social de la compañía está compuesto por 24 450 000 actions ordinarias, por lo que el precio ofrecido en efectivo en la OPA supone un importe total máximo a desembolsar de 244.5 millions de euros.
Según los ofertantes, la operación supone ofrecer a los actuales accionistas de Azkoyen una ventana de liquidez a un precio atractivo en comparación con los precios históricos del valor.
La oferta por Azkoyen está sujeta a una condición de aceptación de, al menos, más del 50% del capital social de la empresa navarra, umbral que Ohmnia considera necesario para segurar el liderazgo del proyecto resultante, así como a que se obtengan todas las authorizaciones pertinentes.
Azkoyen is a multinational Navarra in round three technologies: Coffee & Vending Systems, Payment Technologies and Time & Security, with a $211 million euro and a 38 million ebitda.
La operación cuenta con el respaldo financiero de CaixaBank y Banco Sabadell y de acuerdo con la estrategia de crecimiento que impulsa esta operación Ohmnia mantendrá la cotización de Azkoyen en Bolsa.
The promoters of the oferta consideran que la operación es una oportunidad para compartir conocimiento y colaborar para desarrollar soluciones industriales más avanzadas y de mayor valor añadido, creando un grupo tecnológico-industrial de referencia en Europa con el apoyo de dos nuevos socios inversores: la Fundación Bancaria BBK y de Indar Kartera.
